Komorika Digital (“Komorika Digital,” “We,” “Us,” or “Our”) offers a leading digital marketing and AI automation service for local service-based small businesses, including free professionally designed websites. We are excited to invite qualified individuals and entities (“Affiliate,” “You,” or “Your”) to partner with us through our Affiliate Program.

By applying to and participating in the Komorika Digital Affiliate Program, you (“Affiliate”) agree to comply with and be bound by the following Terms and Conditions (“Agreement”). This Agreement forms a legally binding contract between Komorika Digital and You. Please read these Terms carefully before proceeding. If you do not agree to all the terms and conditions of this Agreement, you may not participate in the Affiliate Program.

1. Program Acceptance

1.1. Application: To become an Affiliate, You must submit a complete and accurate Affiliate Program application via our designated platform.

1.2. Approval: We reserve the sole right to review and approve or reject any application for any reason, including, but not limited to, unsuitable website content, marketing practices, or business types. We may also reject applications from Affiliates whose existing businesses directly compete with Komorika Digital or could negatively impact our brand reputation. Our decision is final and not subject to appeal.

1.3. Confirmation: Upon approval, You will receive a confirmation email with details on accessing Your Affiliate Dashboard and promotional materials.

2. Eligibility Criteria

2.1. Age: Affiliates must be at least 18 years of age at the time of application.

2.2. Business Type: The program is open to individuals, businesses, and organizations that can legally enter into contracts.

2.3. Jurisdiction: Affiliates must not be residents of, or promote our services in, any country or jurisdiction where participation in such programs is illegal or where our services are otherwise prohibited. You are responsible for ensuring compliance with all local laws.

2.4. Website/Platform Requirements:

• Your website(s), social media pages, email lists, or other promotional platforms (collectively, “Promotional Channels”) must be fully operational and accessible.
• Promotional Channels must not contain any content that is illegal, misleading, deceptive, hateful, discriminatory, defamatory, obscene, pornographic, or that promotes violence, drug use, or any illegal activity.
• Promotional Channels must not promote any materials that infringe on the intellectual property rights of any third party.
• We reserve the right to review and audit Your Promotional Channels at any time.

2.5. Previous Violations: Affiliates previously terminated from this or any other affiliate program for violation of terms are generally not eligible.

3. Commission Structure

3.1. Commissionable Actions: Commissions are earned on qualifying sales generated through Your unique Affiliate Tracking Link. A “Qualifying Sale” is defined as a new, legitimate client who:

• Clicks on Your Affiliate Tracking Link.
• Does not already exist as a lead or client in Komorika Digital’s database.
• Sign up for a paid service (e.g., Digital Marketing, AI Automation, premium website add-ons, or specified managed hosting plans that result in an invoice from Komorika Digital).
• Pays for the service in full and does not cancel or request a refund within any applicable refund period.
• Note: Sign-ups solely for the Free Professionally Designed Website without subsequent paid service conversion generally do not qualify for commission unless explicitly stated otherwise for specific campaigns.

3.2. Commission Rate: The current standard commission rate is 20% for each Qualifying Sale along with a $20 bonus for every completed free website project. Komorika Digital reserves the right to modify commission rates at any time with prior notice to Affiliates.

3.3. Payment Schedule:

• Commissions will be calculated on a monthly basis.
• Payments will be processed on the 15th of each month for commissions earned in the previous calendar month.
• Minimum Payout Threshold: A minimum payout threshold of $100 USD applies. If Your earned commission in a given payment cycle is below this threshold, it will roll over to the next cycle until the threshold is met.
• Payment Method: Payments will be made via PayPal. You are responsible for providing accurate and complete payment information. Any fees associated with the chosen payment method are Your responsibility.
• Taxes: All commissions are presented in gross value. The Affiliate is solely responsible for all applicable taxes arising from commissions earned hereunder. Komorika Digital will not withhold any taxes unless legally required to do so. Affiliates are encouraged to consult with a tax professional.

3.4. Cookie Duration:

• Our tracking cookies have a duration of 30 days. This means that if a user clicks Your Affiliate Tracking Link, and then makes a Qualifying Sale within 30 days of that click, You will be attributed the commission, provided it is the last clicked affiliate link.
• Last Click Attribution: Commission is awarded on a “last click” basis. If a user clicks multiple Affiliate Tracking Links from different Affiliates, the last Affiliate link clicked before the Qualifying Sale will receive the commission.

4. Approved Promotional Methods

4.1. Permitted Methods: Affiliates are permitted to promote Komorika Digital services using the following methods, provided they adhere to all terms herein:

• Content Marketing (e.g., blog posts, articles, reviews)
• Email Marketing (to opt-in lists only)
• Social Media Marketing (organic posts)
• Relevant Niche Websites/Blogs
• Webinars and Online Events
• Video Marketing

4.2. Affiliate Tracking Link: You must use Your unique Affiliate Tracking Link for all promotions to ensure proper tracking and commission attribution.

4.3. Brand Guidelines: Affiliates must adhere to Komorika Digital’s brand guidelines (provided upon approval) when using our logos, trademarks, and other intellectual property.

5. Prohibited Promotional Methods

Failure to adhere to these prohibitions may result in immediate termination of Your Affiliate account and forfeiture of any accrued commissions.

5.1. Spam/Unsolicited Communications:

• Strictly Prohibited: Sending unsolicited emails, messages, or any form of spam through any channel (email, social media, messaging apps, etc.).
• You must ensure all email marketing complies with CAN-SPAM Act, GDPR, and other applicable anti-spam laws. All recipients must be fully opt-in and have a clear unsubscribe option.

5.2. Trademark Misuse/Brand Bidding:

• You are strictly prohibited from bidding on Komorika Digital’s brand name keywords (e.g., “Komorika Digital,” “Komorika Digital Website,” “Komorika Digital Marketing,” or misspellings thereof) in any pay-per-click (PPC) or search engine marketing (SEM) campaigns (Google Ads, Bing Ads, etc.).
• You may not use Komorika Digital’s name, trademarks, or any variations thereof in Your domain names, social media handles, app names, or any other online identifiers in a way that suggests You are Komorika Digital or are an official Komorika Digital property.

5.3. Coupon/Deal Sites: Creation or promotion on coupon or deal aggregator websites is generally prohibited unless explicitly approved in writing by Komorika Digital for specific campaigns.

5.4. False Advertising/Misrepresentation:

• You may not make false, misleading, or deceptive claims about Komorika Digital or its services.
• You may not engage in “bait-and-switch” tactics or suggest that our “free website” offer is something it is not (e.g., implying it’s a full-service, unlimited solution without any potential associated costs for add-ons or premium features).

5.5. Self-Referrals: You may not use Your own Affiliate Tracking Link to sign up for Komorika Digital services. Any such self-referrals will not be eligible for commission.

5.6. Incentivized Traffic: You may not offer direct monetary incentives (e.g., cash back, rebates) to users for signing up for Komorika Digital services without our prior written consent. Indirect incentives (e.g., value-added content, bonuses for your own products/services) are generally permitted, provided they do not violate other terms.

5.7. Infringement: You may not use any content, images, or materials that infringe upon the intellectual property rights of Komorika Digital or any third party.

5.8. Adult/Illegal Content: Your Promotional Channels must not contain or promote adult, illegal, or otherwise objectionable content.

5.9. Cookie Stuffing / Forced Clicks: Any methods that artificially inflate cookie placement through unethical means (e.g., dropping cookies without user interaction, iFraming) are strictly prohibited.

6. Compliance with FTC Disclosure Rules (USA)

6.1. Mandatory Disclosure: As an Affiliate, you are required to comply with all applicable laws, regulations, and guidelines, including but not limited to the Federal Trade Commission (FTC) Endorsement Guides in the United States and similar consumer protection laws globally.

6.2. Clear and Conspicuous: You must clearly and conspicuously disclose your affiliate relationship with Komorika Digital in all promotional content where such a relationship may influence the credibility of your endorsement. This disclosure must be:

• Prominent: Easily visible and understandable to consumers.
• Unambiguous: Clearly state that you are an affiliate and may earn a commission.
• Near the endorsement: Placed close to where you are mentioning or linking to Komorika Digital.

6.3. Examples of Acceptable Disclosures (not exhaustive):

• [Affiliate Disclosure: This post contains affiliate links. I may earn a commission if you sign up through my link, at no extra cost to you.]
• #ad or #sponsored (for social media posts, ideally with more context)
• As an affiliate of Komorika Digital, I may receive compensation for referrals.

6.4. Responsibility: The Affiliate is solely responsible for ensuring their own marketing efforts comply with all relevant disclosure requirements. Failure to comply may result in termination from the program and legal penalties.

7. Intellectual Property

7.1. License Grant: Komorika Digital grants You a non-exclusive, non-transferable, revocable license to use our trademarks, logos, and approved marketing materials (“Licensed Materials”) solely for the purpose of promoting Komorika Digital services in accordance with this Agreement.

7.2. Restrictions: You may not modify, adapt, or create derivative works from our Licensed Materials without our prior written consent. You may not use the Licensed Materials in any manner that misrepresents Komorika Digital or tarnishes its goodwill.

7.3. Ownership: Komorika Digital retains all rights, title, and interest in and to the Licensed Materials and all other intellectual property related to its services.

8. Confidentiality

8.1. During Your participation in the Affiliate Program, You may be exposed to confidential information concerning Komorika Digital’s business, technology, or other internal affairs (“Confidential Information”). You agree to keep such Confidential Information strictly confidential and not to disclose it to any third party or use it for any purpose other than Your participation in the Affiliate Program.

9. Term and Termination

9.1. Term: This Agreement commences upon Your acceptance into the Affiliate Program and continues until terminated as set forth herein.

9.2. Termination by Either Party:

• By Affiliate: You may terminate this Agreement at any time by providing Komorika Digital with 7 days written notice.
• By Komorika Digital: We may terminate this Agreement immediately, with or without cause, at any time. Grounds for termination include, but are not limited to:
• Violation of any terms of this Agreement, especially Section 5 (Prohibited Promotional Methods).
• Lack of activity for a continuous period of 6 months.
• Engaging in any activity that could harm Komorika Digital’s reputation.
• Providing false or misleading information in Your application or during Your participation.

9.3. Effect of Termination:

• Upon termination, Your Affiliate Tracking Link will be deactivated, and You must immediately cease all use of Komorika Digital’s Licensed Materials and remove all references to Komorika Digital from Your Promotional Channels.
• Any commissions earned up to the date of termination will be paid out, provided they meet the minimum payout threshold and are not subject to forfeiture due to breach of this Agreement. Commissions earned through prohibited activities will be forfeited.
• Sections 7 (Intellectual Property), 8 (Confidentiality), 9.3 (Effect of Termination), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 13 (Governing Law) shall survive the termination of this Agreement.

10. Disclaimer of Warranties

Komorika Digital makes no express or implied representations or warranties regarding the Affiliate Program or any services or products provided therein, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, or any implied warranties arising from course of performance, course of dealing, or usage of trade. Furthermore, we make no representation that the operation of our site or the Affiliate Tracking Links will be uninterrupted or error-free, and Komorika Digital will not be liable for the consequences of any interruptions or errors.

11. Limitation of Liability

Komorika Digital will not be liable for indirect, special, incidental, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commission paid or payable to You under this Agreement over the 6 months immediately preceding the event giving rise to such claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Komorika Digital, its officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your participation in the Affiliate Program.
• Your breach of any term or condition of this Agreement.
• Your violation of any law or the rights of any third party.
• Your creation, maintenance, or content of Your Promotional Channels.

13. Governing Law and Dispute Resolution

13.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Oklahoma, United States, without regard to its conflict of law principles.

13.2. Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

14. Changes to This Agreement

Komorika Digital reserves the right to modify or amend any part of this Agreement at any time. We will notify Affiliates of any significant changes by posting the updated terms on our website and/or via email. Your continued participation in the Affiliate Program after any such changes constitutes Your acceptance of the revised Agreement. It is Your responsibility to regularly review these Terms.

15. Miscellaneous

15.1. Independent Contractor: You acknowledge that You are an independent contractor, and nothing in this Agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between You and Komorika Digital. You have no authority to make or accept any offers or representations on our behalf.

15.2. Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

15.3. Entire Agreement: This Agreement constitutes the entire agreement between Komorika Digital and You regarding the Affiliate Program and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.

15.4. Waiver: The failure of Komorika Digital to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

15.5. Headings: The headings in this Agreement are for convenience only and shall not affect the interpretation of the provisions herein.

By submitting Your application and participating in the Komorika Digital Affiliate Program, You signify Your explicit acceptance of these Terms and Conditions.
